03 · MUTUAL NDA & RESERVATION AGREEMENT

I. Mutual Non-Disclosure

Moliving Inc. ("Moliving") and the undersigned ("Reserving Party") agree to hold in strict confidence all non-public information exchanged in connection with this reservation, including pricing schedules, specifications, drawings, manufacturing processes, and commercial terms ("Confidential Information"). Confidential Information may be used solely to evaluate and complete the transaction contemplated here, may not be disclosed to any third party except advisors bound by equivalent obligations, and shall be protected for a period of three (3) years from the date below. Confidential Information excludes information that is or becomes public through no fault of the receiving party, was lawfully known prior to disclosure, or is independently developed.

II. Reservation of Build Slot

Upon receipt of the reservation deposit of five thousand US dollars ($5,000), Moliving shall hold Build Slot №{{ slot }} in the Reserving Party's name in Moliving's production schedule. The deposit is non-refundable and shall be credited in full against the purchase price at contract signing. The configuration and schematic drawings submitted with this reservation are indicative and non-binding; final specifications, pricing, and delivery schedule are established in the definitive purchase agreement ("Contract").

III. Payment Schedule

(a) $5,000 upon reservation, non-refundable, credited against the purchase price. (b) Fifty percent (50%) of the Contract price upon signing of the Contract. (c) The remaining fifty percent (50%) upon completion, prior to delivery. Delivery is targeted within twelve (12) months of Contract signing, subject to the terms of the Contract.

IV. General

This reservation does not constitute a purchase agreement and creates no obligation on either party to enter into the Contract. Either party's sole remedy for failure to reach a Contract is retention (by Moliving) or forfeiture (by the Reserving Party) of the reservation deposit as set out above. This agreement is governed by the laws of the State of New York. Executed electronically by typed signature below, which each party agrees has the force of a handwritten signature.

I agree to the Mutual Non-Disclosure terms (Section I).

I agree to the Reservation terms, including the non-refundable $5,000 deposit and payment schedule (Sections II–IV).
